(1) A corporation shall maintain the following records:(a) Its articles of incorporation, as currently in effect.
(b) Its bylaws, as currently in effect.
(c) If the corporation has members, the minutes of all members’ meetings and records of all action taken by members without a meeting for the past 3 years.
(d) The minutes of all meetings of its board of directors, a record of all actions taken by the board of directors without a meeting, and a record of all actions taken by a committee of the board of directors in place of the board of directors on behalf of the corporation.
(e) If the corporation has members, all written communications within the past 3 years to members generally or to members of a class, including the financial statements furnished for the past 3 years under s. 617.1605. (f) A list of the names and business street addresses, or the home street addresses if there is no business street address, of its current directors and officers.
(g) Its most recent annual report delivered to the department under s. 617.1622. (2) A corporation shall maintain accounting records in a form that permits preparation of its financial statements as required by s. 617.1605. (3) If a corporation has members, a corporation or its agent must maintain a record of its members in a form that permits preparation of a list of the names and addresses, which may be an e-mail address or other electronic contact information, of all members in alphabetical order by class of members. This subsection does not require the corporation to include the e-mail address or other electronic contact information of a member in such record.
(4) A corporation shall maintain the records specified in this section in a manner that allows them to be made available for inspection within a reasonable time.
